and any natural or legal person (hereinafter the "Customer") subscribing to the HorlogeTV service through the website horlogetv.com.
HorlogeTV is a subscription-based digital signage service made up of a Windows application, to be installed on a mini PC, desktop PC or laptop meeting the required specifications and connected to the screen, and an online service (licence, themes, updates, customer area). It displays a customisable animated clock and contextual information, in portrait 9:16 format, on an LCD screen connected to a Windows mini PC running the HorlogeTV Desktop application. HorlogeTV does not sell hardware; the Customer provides their own mini PC and screen and ensures they meet the requirements described in article 3 bis "Screen and continuous display".
Subscribing to HorlogeTV implies full and unreserved acceptance of these Terms. The Customer acknowledges having read them before confirming their order.
HorlogeTV reserves the right to amend these Terms at any time. The applicable Terms are those in force on the date of subscription or renewal.
HorlogeTV provides a digital signage service running through the HorlogeTV Desktop application (Electron) installed on a Windows mini PC connected to a portrait LCD screen. The display is configured remotely from a tablet or smartphone. Depending on the plan, the service includes:
The features included in each plan are detailed on the Pricing page. HorlogeTV does not sell hardware; the Customer provides their own mini PC and screen.
3 bis.1 Requirements. HorlogeTV is designed for continuous display on a portrait LCD screen (including LED-backlit), with an HDMI input, at 1080×1920 or 2160×3840. OLED screens, and more generally any display technology with self-emissive pixels, are not supported and must not be used with the service.
3 bis.2 Acceptance at installation. When the application is first set up on a screen, the Customer confirms that the screen is an LCD panel and that they have read this article. This confirmation is time-stamped and kept by HorlogeTV together with the screen identifier, for the duration of the subscription and five years after it ends.
3 bis.3 Protections enabled by default. The application enables by default measures intended to limit the image-retention risk inherent to any long-term static display: a brightness cap on white areas, slow and imperceptible image drift, gentle brightness variation, a wash sequence at scheduled shutdown, scheduled standby, and a start-up reminder to change theme regularly. The Customer may disable some of these measures from the customer panel; each deactivation is logged with its date and the screen identifier. HorlogeTV recommends leaving these protections enabled and scheduling a daily standby.
3 bis.4 Temporary retention. On an LCD panel, an image displayed for a long time may leave a faint, temporary trace that fades after shutdown or after the wash sequence. This is temporary and does not constitute a defect of the service.
3 bis.5 Customer's hardware. The Customer is solely responsible for the choice, condition and conditions of use of their screen and mini PC, in compliance with the requirements above and the manufacturer's conditions. The limitation of liability in article 14 applies.
HorlogeTV offers three monthly subscription plans:
Exclusif — €9 per month: 1 screen, reserved for Customers who have ordered a private theme; gives access to that private theme or those private themes only, with all features. See article 12 ter.
Prices are shown in euros. VAT not applicable, art. 293 B of the French General Tax Code. HorlogeTV reserves the right to change its prices at any time. Any price change will be notified to the Customer by email at least 30 days before it takes effect.
Each new Customer benefits from a 14-day free trial from the date of sign-up. During this period, the Customer has access to all the features of the chosen plan.
The free trial requires no payment card. At the end of the trial, nothing is charged: the Customer chooses, if they wish, the plan that suits them and pays from their customer area. Without a subscription, the Customer's screen shows a message indicating that the trial has ended; a later subscription reactivates it with the same licence key.
Subscription takes place online at horlogetv.com. Payment is processed by Stripe (payment card), a PCI-DSS certified payment provider, or by PayPal.
Accepted payment methods are: payment card (Visa, Mastercard, American Express) via Stripe, and PayPal.
The subscription renews automatically every month. Payment is taken automatically each month on the anniversary date of the subscription.
If a payment fails on its due date, the Customer has a grace period of fifteen (15) days during which the service remains fully available. Reminders are sent to them by email during this period, and they can update their payment method from their customer area; the payment provider may also retry the payment. If the situation is not resolved by the end of the grace period, the subscription ends: the Customer's screen then shows a message indicating that the subscription has ended, and a new subscription reactivates it with the same licence key. No licence key is ever sent in reminder emails.
On subscription, a unique licence key is assigned to the Customer. This key activates the service on the number of screens allowed by the chosen plan. It is sent by email at sign-up and remains available in the customer area.
The licence key is personal and non-transferable. The Customer is responsible for keeping their key confidential. Any fraudulent use of the key may result in immediate suspension of the account.
In accordance with article L.221-28 of the French Consumer Code, the right of withdrawal cannot be exercised for contracts for the supply of digital content not supplied on a tangible medium whose performance has begun with the consumer's agreement.
However, the 14-day free trial allows the Customer to test the service with no financial commitment. The Customer may cancel at any time during this period free of charge.
The Customer may cancel their subscription at any time from their customer area or by contacting support at contact@horlogetv.com.
Cancellation takes effect at the end of the current billing period. The Customer keeps access to the service until that date. No pro-rata refund will be made for the remaining period.
HorlogeTV reserves the right to cancel a Customer's subscription in the event of:
The Customer may change plan at any time (upgrade or downgrade) from their customer area or via support.
When upgrading, the new plan is activated immediately. The price difference is calculated pro rata for the remaining period.
When downgrading, the new plan takes effect at the next billing cycle. Features and themes are adjusted automatically.
HorlogeTV undertakes to provide a service accessible 24/7, subject to the maintenance operations required for the proper functioning of the service.
HorlogeTV cannot be held liable for interruptions due to:
All elements of the HorlogeTV service (software, themes, interfaces, graphics, source code) are and remain the exclusive property of HorlogeTV.
The subscription grants the Customer a personal, non-exclusive and non-transferable right to use the service for the duration of the subscription.
Each theme comes with an ambient melody for which HorlogeTV holds or has acquired the broadcasting rights for the use intended by the service.
The application allows the Customer to replace this melody with a music track of their choice. In that case, the track is supplied, imported and played by the Customer alone. The Customer declares and warrants that they hold all the rights required to play it, or have the corresponding authorisations, in particular from the competent collective management societies (SACEM, SPRÉ or their foreign equivalents). Playing a musical work in a place open to the public constitutes a public performance subject to authorisation and, where applicable, to the payment of royalties, which are the Customer's sole responsibility.
HorlogeTV grants no right, licence or authorisation over tracks imported by the Customer, neither controls nor verifies them, and plays no part in their selection. The Customer is solely responsible for the consequences of playing them.
The Customer undertakes to indemnify HorlogeTV against any claim, action, judgment or request for compensation from a third party — author, producer, collective management society or other rights holder — arising from the playing of a track imported by the Customer, and to bear the resulting sums, costs and fees.
12 ter.1 Services. In addition to its subscription plans, HorlogeTV offers: (a) customisation of an existing catalogue theme with the Customer's colours, logo or identity; (b) creation of a private theme designed entirely for the Customer. The Customer may also suggest a theme style free of charge, with no commitment on either side; a suggestion gives the Customer no rights over any theme that may result from it.
12 ter.2 Quote and order. Any customisation or creation is subject to a written quote sent by email, stating the description of the service, the creation price, the deposit amount, the lead time and the number of rounds of changes included. The order becomes firm when the Customer accepts the quote in writing and pays the deposit. The balance of the creation price is due on delivery of the theme.
12 ter.3 Lead times. The lead time for creating a private theme is at least fifteen (15) days. The applicable lead time is the one stated in the quote; it runs from payment of the deposit and receipt of all items supplied by the Customer (logos, colours, texts, photographs). Lead times are indicative; a delay may give rise to a penalty or cancellation only if it exceeds the quoted lead time by more than thirty (30) days.
12 ter.4 Approval and changes. HorlogeTV submits still previews to the Customer before producing the final animation. Unless otherwise stated in the quote, two (2) rounds of changes are included. Additional changes, or changes requested after the previews have been approved, are subject to a supplementary quote. The Customer may request several variants of the same theme; their number and price are set in the quote. If the Customer does not respond within thirty (30) days of a preview being sent, the preview is deemed approved.
12 ter.5 Subscription required. Access to a customised or private theme requires an active subscription. The theme is added to the plan chosen by the Customer (Essentiel, Starter or Pro) or provided under the Exclusif plan, at the price of the Essentiel plan. The Essentiel plan is in all cases the minimum subscription. The creation price is separate from the subscription and is not refundable as part of it.
12 ter.6 Exclusivity. A private theme, or a theme customised with the Customer's brands, is reserved for the Customer's exclusive use, on the screen or screens of its venue or network within the screen limit of its plan. HorlogeTV undertakes not to offer that theme, as such, to any other customer.
12 ter.7 Ownership. In accordance with article 12, the theme, its files, its animation and its graphic elements remain the property of HorlogeTV. The Customer holds an exclusive, personal and non-transferable right of use for the duration of its subscription. HorlogeTV retains the right to reuse the techniques, methods and generic scenery elements employed, without ever reproducing the Customer's theme itself. Logos, brands and content supplied by the Customer remain its property; it grants HorlogeTV the right of use necessary to produce the theme and display it on the Customer's own screens.
12 ter.8 End of subscription. When the subscription ends, access to the theme is suspended under the conditions of article 9. HorlogeTV keeps the theme for twelve (12) months; if the Customer subscribes again within that period, it recovers its theme without any new creation fee. After that, HorlogeTV may delete the theme, without the exclusivity ending: the theme is not offered to any other customer.
12 ter.9 Items supplied by the Customer. The Customer represents and warrants that it holds all rights to the logos, brands, images, texts and other items it supplies, or has the necessary permissions. It shall indemnify HorlogeTV against any third-party claim arising from those items and bear the resulting sums, costs and fees. HorlogeTV may refuse any item that is manifestly unlawful or contrary to public policy.
12 ter.10 Cancellation. As the service is made to the Customer's specifications and personalised for it, the right of withdrawal does not apply in the cases provided for by article L.221-28 of the French Consumer Code. If the Customer cancels after work has started, the deposit is retained by HorlogeTV for the work done; work carried out beyond the deposit remains payable.
HorlogeTV collects and processes the Customer's personal data in accordance with the General Data Protection Regulation (GDPR). The data collected is necessary to manage the subscription and provide the service.
For more information, see our privacy policy.
HorlogeTV's liability is limited to the amounts actually paid by the Customer during the 12 months preceding the event giving rise to liability.
HorlogeTV cannot be held liable for indirect damages, loss of data, loss of revenue or loss of profit, whatever the cause.
These Terms are governed by French law. This translation is provided for convenience only; in the event of any discrepancy, the French version prevails.
In the event of a dispute, the parties undertake to seek an amicable solution. Failing an amicable agreement within 30 days, the dispute will be submitted to the competent courts of the place where HorlogeTV's registered office is located.
In accordance with article L.612-1 of the French Consumer Code, a consumer Customer may have free recourse to a consumer mediator with a view to the amicable resolution of the dispute.
